Nominations & Governance Committee
The Nominations and Governance Committee:
- Assists the board of directors in identifying individuals qualified to
become board members and recommends to the board the nominees for election as
directors at the next annual meeting of shareholders.
- Recommends to the board the persons to be elected as executive officers of
Abbott.
- Develops and recommends to the board the corporate governance guidelines
applicable to Abbott.
- Serves in an advisory capacity to the board and the chairman of the board
on matters of organization, management succession plans, major changes in the
organizational structure of Abbott, and the conduct of board activities.
The Nominations and Governance Committee is governed by a written
charter.
